Overview

Heap’s Legal team is growing! In order to support its mission and close deals at scale, we are looking for a Commercial Counsel to join us, and to own both our go-to-market (GTM) and procurement legal functions.  You will be the lead on all of our commercial work, from drafting and negotiating SaaS agreements to building and improving processes and providing counsel to leadership. As a foundational member of Heap Legal department, you will have the opportunity to grow in the organization, making incredible impact while continuing your development as a consummate legal professional.

What you will be doing:

  • Draft, review, and negotiate domestic and international SaaS agreements, partner, reseller, referral, vendor and other related professional services and technology agreements.
  • Identify business and legal risks and issues and suggest practical alternatives that allow the business of the company to move forward in compliance with its contractual commitments and domestic and international laws, rules, and regulations.
  • Be a true cross-functional team player by working closely with the GTM, Business Development, Security, Finance, Procurement, and other departments at Heap.
  • Operate as a subject-matter expert for legal and regulatory matters relating to commercial agreements.
  • Build operational and scalable processes and procedures and help shorten time to sale and time to purchase! Prioritize and manage simultaneous legal matters under tight timelines.
  • Template and playbook development, review, maintenance and administration.
  • Be a team player and demonstrate Heap values.

60/90/180 Day Plan:

Within 60 days, you will:

  • Start with understanding, improving, and implementing Heap’s internal playbooks and legal documentation to understand Heap’s contract lifecycle and risk management.
  • Start working on Heap’s Customer Deals.
  • Support Heap Compliance and Procurement Projects.

Within 90 days, you will:

  • Develop a strong understanding of Heap’s products and business model.
  • Build partnerships with cross-functional leaders
  • Focus negotiations on the most critical aspects of Heap’s objectives.

Within 180 days, you will:

  • Become an expert on Heap’s contracting model and sales cycle.
  • Establish yourself as a trusted partner and advisor to your cross-functional peers.
  • Help continue to shape company policy and use the legal process to meet the company’s short- and long-term goals.
  • Own the Heap Customer Contract Process.

Required Qualifications: 

  • J.D. degree (or foreign equivalent) and membership in at least one U.S. state bar.
  • 5-7 years of experience in a law firm or in-house (or a combination thereof), including experience focusing on technology transactions at SaaS companies and/or start-ups.
  • Familiarity with global and domestic privacy laws and regulations, including GDPR and CCPA.
  • Strong critical thinking and strategic skills demonstrating sound judgment.
  • Business acumen; ability to develop strong relationships with business stakeholders
  • Ability to work well in a team environment, but also comfortable with taking ownership of projects and driving them to conclusion.
  • Skilled at balancing legal risk with business objectives.
  • Flexibility and willingness to work on a broad range of sometimes novel legal matters.
  • Experience with Ironclad CLM is a plus.
